Hello and welcome to figurestock. If you plan to use our website then these terms and conditions give you the information you need to know. Please read them carefully before using this website. They are standard terms and conditions used by most of photo libraries in Great Britain.
 
By accessing and using this website, as either a guest browser or a registered user, you confirm your acceptance of the terms and conditions of use set forth below and agree to comply with and be bound by them. If you do not accept these terms and conditions, please do not use this website. We reserve the right to make changes and modify this page at any time. If you are entering into this agreement on behalf of an employer, the licences granted and all restrictions and limitations on their use also apply to them. If you cease working for your employer, they may continue to use the images under these terms and conditions.

Privacy Policy
Your privacy is important to us. When you create an account you will be asked to enter just your name and email address and choose a password. Only when licencing an image will we require a little more information. If you create a corporate account we will require more company information including company name, address and accounts person contact details etc. We are committed to protecting your privacy and any personal information you submit to us. We will not share any of your personal information with any other parties unless required to do so by law or in connection with any investigation. By creating an account on our site, you are expressly consenting to our limited use of the personal information you supply to us. We will use these details to provide you or your company with our customised service and access to the copyrighted content on our website. We may retain any emails you send to us to better serve you or your employer and for licencing purposes only. You can have your account and personal information removed from our system at any time, provided there are no disputes or financial arrears pending, by emailing us at hello@figurestock.com. Online transactions are processed with PayPal or by credit card. We will not ask you for any financial information or store any bank or card details. Corporate account holders will be sent invoices with our bank account details, but again we will not ask for yours or store any information other than the company contact details. Your login and password is confidential. If you believe it to be compromised or known by a third party it is your responsibility to create a new password. You will be held responsible if any high resolution images are downloaded on your account by a third party. We reserve the right to suspend or delete any user’s account at any time if we feel they have not complied with the terms and conditions. 

How does it work? 
Browse the images on our website and select the one that you want. Low resolution, watermarked images may be downloaded and used for temporary compositions and visuals to gain author approval or for approval in meetings, but must not be used for any out-of-house, commercial purposes (printed or electronic forms).
If the image has never been licenced/sold before, you will have the option to licence it as Royalty Free (RF) or Rights Managed (RM). The first licensee gets to set the status of the image by their requirements.

What’s the difference between Royalty Free (RF) and Rights Managed (RM) images? In a word, exclusivity.

Royalty Free (RF) Images
figurestock grants you a non-exclusive, non-assignable and non-sub-licensable right to reproduce the licenced image. (But no ownership or copyright of any image will pass to you.) Once purchased as Royalty Free (RF) you may use the image multiple times without paying additional fees. (For an additional cost an extended licence can make it possible to sub-licence an image).

Rights Managed (RM) Images
figurestock grants you a worldwide exclusive, non-assignable and non-sub-licensable right to reproduce the licenced image for a period of 5 years from the date of invoice. (But no ownership or copyright of any image will pass to you.) After the 5-year term the publisher will have the option to re-licence the image for a further 5 years as RM. If the image is not re-licenced its status will be changed to Royalty Free (RF) and it will be made available for re-sale. (For an additional cost an extended licence can make it possible to sub-licence an image).

How do I licence/buy an image?
There are two ways to licence/buy images. 
1) Just select your option and either purchase instantly through the online cart system, with PayPal or a credit card. You will be emailed a link that takes you to the high-resolution download on the website. (You must still be logged in to download this.) We will send you a follow up email to ensure everything went smoothly and to request a few details to complete the licence. (Publishing date, author’s name, book title and editions the image(s) will be used on.) 

OR

2) If you’re an approved corporate account holder, ensure you are logged in and click on the corporate account key button under the required image. This will instantly download a high resolution file. (The image will not be licenced or invoiced until you confirm usage.) At that point you will then supply the details (A jpeg of the cover, publishing date, author’s name, book title and editions the image(s) will be used on etc.)
The named corporate account holder is responsible for ensuring that rejected downloaded high- resolution images get deleted from the companies system. 

If an image is unavailable, it means someone has already licenced this image exclusively as RM.
If only the RF option is available, it means someone has already licenced the image as RF.

We sell images on a strictly first come first served basis. The first person to buy the licence, has the right to use the image.
YOU SHOULD ALWAYS CHECK AVAILABILITY AND LICENCE THE IMAGE BEFORE SENDING ANY ARTWORKS TO PRINT OR POSTING ON-LINE.

The figurestock website enables you free access to our online photo library. We designed this website to make it easy for you to browse, download and purchase images to design with. No form of reproduction of any image on this site is permitted without purchasing a licence. This includes the copying, whole or part, of an image, altering, printing, electronic reproduction or an artist’s representation. Figurestock is a registered trademark. The intellectual property rights, branding and domains: www.figurestock.co.uk, www.figurestock.eu and
www.figurestock.com are all owned by twenty-five-design UK Ltd. Registered in England and Wales. Company number: 08684962. All of the images are protected by copyright laws around the world. All rights are reserved. It is a criminal offence to try to hack our website, and any breach will be reported to the National Cyber Crime Unit. Any unauthorised use of any of the content from this website could lead to legal proceedings.

Corporate account invoices need to be paid within 40 days of invoice date. 
We are currently not VAT registered, so will not add VAT on to your invoice.
We reserve the right to terminate a licence if the invoice is still unpaid by 90 days. 
If the image is still in use after that time it shall constitute an infringement of copyright and further action will be taken.
If a publisher wants to package-up the cover design including images and sell it on for 2nd rights usage to international publishers, it is possible to sub-licence an image. But this would need to be negotiated when the image is first licenced/purchased. 
We reserve the right to terminate a licence or retrospectively invoice the original publisher double the amount of the licence if evidence comes to light that an image has been sub-licenced, resold or otherwise made available for use or distribution to another publisher without prior consent.

Images may not be used in a pornographic, defamatory or illegal way, or cast the model in a bad light.

If a publisher publishes a book with a figurestock image on the cover but does not licence it prior to the book being on sale, this constitutes an infringement of copyright and the publisher will be liable to a retrospective fee of double the original amount. 

If a publisher (A) publishes a book with a Rights Managed (RM) figurestock image on the cover but does not licence it, at the same time as another publisher (B) publishes a book with the same image and does licence the image, the unlicenced publisher will be liable for all consequential loss, costs and damages to all parties involved. 

Although all due care is taken with keywording, we do not guarantee that our site, or any content on it, will be free from human error. We make all efforts to be accurate with period costumes but we cannot be held responsible if the information we have been given is incorrect. We recommend you seek independent professional advice on historical accuracy of costumes in the images if required.
Any weapons shown within the images are just photographic props, or reenactment replicas.

You may request an image that you would like us to shoot via the website form.
We are under no obligation to shoot these images and the request can be denied at any time.

Your use of this site is at your own risk. We give no warranty of any kind that our site will not be affected by interruptions due to third party issues or unspecified technical problems. We will not be liable for any reason should our site be unavailable to you at any time. Maintenance will be carried out on the site when necessary. We also reserve the right to change the design of the website or even discontinue it without notice. Like all other websites, we cannot guarantee that we will not be targeted with viruses and bugs in the future. We will not be held liable for any loss of profits or damage that may affect your computer or servers caused by viruses that may have come from our site. We strongly recommend protecting your system with anti-virus software. 

We have no liability to any user for loss of profits, or loss of business.

Our total liability to you, the licensee, for all losses arising, shall in no circumstances exceed the price of the original licence.
  
You, the licensee, shall indemnify us, the supplier, against all liabilities, expenses, damages and losses (including consequential losses, loss of reputation and all legal costs).
This indemnity shall apply whether or not we are negligent or at fault.
You agree to indemnify and hold figurestock and its contributors harmless against any claims, damages, losses, expenses or costs, including legal costs, arising in any manner from unauthorised use of any image.
In the event that one or more of the terms set out in these general terms and conditions is held to be invalid by a competent authority, the remaining terms shall continue to have effect and you will still be bound by them.

These terms and conditions are governed by English law, and each party agrees any disputes leading to legal proceedings will be held and settled in the courts of England and Wales.
